If such process agent ceases to be able to act as such or to have an address in England, Able Star irrevocably agrees to appoint a new process agent in England acceptable to the other parties and to deliver to other parties within 14 days a copy of a written acceptance of appointment by the process agent. 25.6 Nothing in this Agreement shall affect the right to serve process in any other manner permitted by law. In witness whereof this Agreement has been duly executed law or the right to bring proceedings in any other jurisdiction for the purposes of the enforcement or execution of any judgment or other settlement in any other courts. (viii) A copy of any document or process sent or delivered to Law Debenture Corporate Services Limited shall also be required to be provided to the persons listed in Section 11.8 by fax or hand delivery on the date written at the beginning of it. Appointment of Process Agent. 14.16.1 15.18.1 The Seller hereby irrevocably appoints Forex Capital Markets Limited Rhône Group LLP of Northern and Shell Building, Eighth Floor, ▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇▇, London W1J 6QZ as its agent to accept service of process in England and Wales in any legal action or proceedings arising out of this Agreement, service upon whom shall be deemed completed whether or not forwarded to or received by the Seller. 15.18.2 The Seller agrees to inform the Purchaser in writing of any change of address of such process agent within 28 days of such change. 15.18.3 If such process agent ceases to be able to act as such or to have an address in England and Wales the Seller irrevocably agrees to appoint a new process agent in England and Wales acceptable to the Purchaser and to deliver to the Purchaser within 14 days a copy of a written acceptance of appointment by the process agent. 15.18.4 The Purchaser and the Purchaser’s Guarantor each hereby irrevocably appoint Cott Beverages Limited of ▇▇▇▇▇▇ ▇▇▇▇▇, ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇, ▇▇▇▇▇, ▇▇▇▇ ▇▇▇ as its agent to accept service of process in England and Wales in any legal action or proceedings arising out of this Agreement, service upon whom shall be deemed completed whether or not forwarded to or received by the SellerPurchaser or the Purchaser’s Guarantor. 14.16.2 The Seller agrees to inform the Purchaser in writing of any change of address of such process agent within 14 days of such change. 14.16.3 If such process agent ceases to be able to act as such or to have an address in England and Wales, the Seller irrevocably agrees to appoint a new process agent in England and Wales acceptable to the Purchaser and to deliver to the Purchaser within 14 days a copy of a written acceptance of appointment by the process agent. 14.16.4 The Purchaser hereby irrevocably appoints Market Data Limited of ▇▇▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇, ▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇, ▇▇▇▇▇▇, ▇▇▇▇ ▇▇▇ as its agent to accept service of process in England and Wales in any legal action or proceedings arising out of this Agreement, service upon whom shall be deemed completed whether or not forwarded to or received by the Purchaser. 14.16.5 15.18.5 The Purchaser agrees to inform the Seller in writing of any change of address of such process agent within 14 28 days of such change. 14.16.6 15.18.6 If such process agent ceases to be able to act as such or to have an address in England and Wales, the Purchaser and Purchaser’s Guarantor irrevocably agrees to appoint a new process agent in England and Wales acceptable to the Seller and to deliver to the Seller within 14 days a copy of a written acceptance of appointment by the process agent. 14.16.7 15.18.7 Nothing in this Agreement shall affect the right to serve process in any other manner permitted by law. Appointment of Process Agent. 14.16.1 The Seller hereby irrevocably appoints Forex Capital Markets 17.1 Each of the Company, the Founders and the Directors shall maintain an agent for service of process in England. 17.2 Each of the Company, the Founders and the Directors confirm that they have appointed Law Debenture Corporate Services Limited of Northern and Shell Building, Eighth Floor, ▇▇ ▇▇▇▇▇ ▇▇▇▇▇, ▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇, ▇ ▇▇▇▇ ▇▇▇ as a process agent in the UK (the “Agent”), to act as its agent to accept service of process in England and Wales in any legal action or proceedings arising out of or in connection with this AgreementAgreement and shall procure that the Agent will, service upon whom prior to Admission on the Closing Date, confirm in writing to the Placing Banks its acceptance of such appointment. All correspondence with the Agent shall be deemed completed whether or not forwarded to or received by the Sellerdelivered in accordance with clause 15. 14.16.2 The Seller agrees to inform 17.3 If the Purchaser in writing of any change of address of such process agent within 14 days of such change. 14.16.3 If such process agent Agent appointed under this clause 17 ceases to be able to act as such or to have an address in England and WalesEngland, each of the Company, the Seller Founders and the Directors irrevocably agrees to appoint a new process agent having an address in England and Wales acceptable to the Purchaser and to deliver to the Purchaser Placing Banks within 14 days 10 Business Days a copy of a written acceptance of appointment by the new process agent. 14.16.4 The Purchaser hereby irrevocably appoints Market Data Limited . If any of ▇▇▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇the Company, ▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇, ▇▇▇▇▇▇, ▇▇▇▇ ▇▇▇ as its agent to accept service of process in England the Founders and Wales in any legal action or proceedings arising out of this Agreement, service upon whom shall be deemed completed whether or the Directors do not forwarded to or received by the Purchaser. 14.16.5 The Purchaser agrees to inform the Seller in writing of any change of address make such an appointment within 10 Business Days of such process agent within 14 days of such change. 14.16.6 If such process agent ceases to be able to act as such or to have an address in England and Walescessation, then the Purchaser irrevocably agrees to appoint a new process agent in England and Wales acceptable to the Seller and to deliver to the Seller within 14 days a copy of a written acceptance of appointment by the process agent. 14.16.7 Nothing in this Agreement shall affect the right to serve process in any other manner permitted by law. SIGNED by Placing Banks, acting reasonably, may do so on behalf of Forex Capital Markets L.L.C.: SIGNED the Company, the Founders and the Directors and at the cost of the Company, the Founders and the Directors and shall notify the Company, the Founders and the Directors if it does so. 17.4 Each party agrees that without preventing any other mode of service, any document in an action (including, but not limited to, a claim form or any other document to be served under the Civil Procedure Rules) may be served on any party by on behalf being delivered to or left for that party at its address for service of FX Publicationsnotices under clause 15 or, Inc.:in the case of each of the Company, the Founders and the Directors, by being delivered to the Agent.
