The Subadviser and the Adviser are currently affiliates under the common control of Manulife Financial Corporation.

The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless except as expressly authorized in this Agreement or in another writing by the Trust and Adviser.

The Subadviser undertakes to act as the investment subadviser to to, and, subject to the supervision of the Trustees of John Hancock Funds II (the "Tr▇▇▇") ▇▇▇ ▇▇▇▇▇▇▇ Funds II (the “Trust”) and the e terms of this Agreement, shall have full discretionary authority to manage the investment and reinvestment of the assets of the Portfolios Portfolio(s) specified in Appendix A to this Agreement as it shall be amended by the Adviser and the Subadviser from time to time (the “"Portfolios”"). The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless except as expressly authorized in this Agreement or in another writing by the Trust and Adviser.

APPOINTMENT OF SUBADVISER. The Subadviser undertakes to act as the investment subadviser to to, and, subject to the supervision of the Trustees (the "Trustees") of John Hancock Funds II (the "Tr▇▇▇") ▇▇▇ ▇▇▇▇▇▇▇ Funds II (the “Trust”) and the e terms of this Agreement, to manage the investment and reinvestment of the assets of the Portfolios specified in Appendix A to this Agreement as it shall be amended by the Adviser and the Subadviser from time to time (the “"Portfolios”"). The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless except as expressly authorized in this Agreement or in another writing by the Trust and Adviser.

APPOINTMENT OF SUBADVISER. The Subadviser undertakes to act as the investment subadviser to to, and, subject to the supervision of the Trustees of ▇J▇▇▇ ▇H▇▇▇▇▇▇ Funds II III (the “Trust”) and the terms of this Agreement, to manage the investment and reinvestment of the assets of the Portfolios each portfolio specified in Appendix A to this Agreement as it shall be amended by the Adviser and the Subadviser from time to time (each, the “PortfoliosPortfolio”). The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless except as expressly authorized in this Agreement or in another writing by the Trust and Adviser.

APPOINTMENT OF SUBADVISER. The Subadviser undertakes to act as the investment subadviser to to, and, subject to the supervision of the Trustees of ▇▇▇▇ ▇▇▇▇▇▇▇ Funds II (the “‘Trust”) and the die terms of this Agreement, to manage the investment and reinvestment of the assets of the Portfolios specified in Appendix A to this Agreement as it shall be amended by the Adviser and the Subadviser from time to time (the “Portfolios”). The Subadviser will be an independent contractor and will have no authority audiority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless except as expressly authorized in this Agreement or in another writing by the Trust and Adviser.

The Subadviser undertakes to act as the investment subadviser to to, and, subject to the supervision of the Trustees of ▇▇▇▇ ▇▇▇▇▇▇▇ Funds II Trust (the “"Trust”") (formerly, Manufacturers Investment Trust) and the terms of this Agreement, to manage the investment and reinvestment of the assets of the Portfolios specified in Appendix A to this Agreement as it shall be amended by the Adviser and the Subadviser from time to time (the “"Portfolios”"). The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless except as expressly authorized in this Agreement or in another writing by the Trust and Adviser.

The Trust, the Adviser and the Subadviser shall not be considered as partners or participants in a joint venture.

The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless except as expressly authorized in this Agreement or in another writing by the Trust and Adviser.
