APPOINTMENT OF SUBADVISER. The Subadviser undertakes to act as the investment subadviser to and, subject to the supervision of the Trustees of J▇▇▇ H▇▇▇▇▇▇ Investment Trust (the “Trust”) and the terms of this Agreement, to manage the investment and reinvestment of the assets of each Portfolio specified in Appendix A to this Agreement as it shall be amended by the Adviser and the Subadviser from time to time (each a “Portfolio, and collectively, the "Portfolios"). The Subadviser and the Adviser are currently affiliates under the common control of Manulife Financial Corporation.

The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless except as expressly authorized in this Agreement or in another writing by the Trust and Adviser.

The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless expressly authorized in this Agreement or in another writing by the Trust and Adviser.

The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless except as expressly authorized in this Agreement or in another writing by the Trust and Adviser.

The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless expressly authorized in this Agreement or in another writing by the Trust and Adviser.

The Subadviser represents that it is a "bank" as defined under the Investment Advisers Act.

The Subadviser represents that it is a "bank" as such term is defined in the Investment Advisers Act and, therefore, is not required to be registered under the Investment Advisers Act.

The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless except as expressly authorized in this Agreement or in another writing by the Trust Trust, the Adviser and Adviserthe Subadviser. The Trust, the Adviser and the Subadviser shall not be considered as partners or participants in a joint venture.

APPOINTMENT OF SUBADVISER. The Subadviser undertakes to act as the investment subadviser to and, subject to the supervision of the Trustees of J▇▇▇ H▇▇▇▇▇▇ Investment Trust Funds II (the “"Trust”") and the terms of this Agreement, to manage the investment and reinvestment of the assets of each Portfolio the Portfolios specified in Appendix A to this Agreement as it shall be amended by the Adviser and the Subadviser from time to time (each a “Portfolio, and collectively, the "Portfolios"). The Subadviser will be an independent contractor and will have no authority to act for or represent the Trust or Adviser in any way or otherwise be deemed an agent unless expressly authorized in this Agreement or in another writing by the Trust and Adviser.
