Approval of Eligible Asset. Conditioned upon the timely and satisfactory completion of Seller’s requirements in clause (a) above, Purchaser shall endeavor to, no less than two (2) Business Days prior to the proposed Purchase Date (i) notify Seller in writing (which may take the form of electronic mail format) that Purchaser has not approved the proposed Eligible Asset as a Purchased Asset or (ii) notify Seller in writing (which may take the form of electronic mail format) that Purchaser has approved the proposed Eligible Asset as a Purchased Asset. Purchaser’s failure to respond to Seller on or prior to two (2) Business Days prior to the proposed Purchase Date, shall be deemed to be a denial of Seller’s request that Purchaser approve the proposed Eligible Asset, unless Purchaser and Seller has agreed otherwise in writing.

The Administrative Agent shall have approved, which approval may be withheld in the sole and absolute discretion of the Administrative Agent, the proposed Eligible Asset with respect to, among other things, the Associated Value thereof (which must be an amount equal to at least 200% of the amount of the Borrowing being requested) and conformity with the Eligible Asset criteria set forth in the Acquisition Repurchase Agreement;
