Approval of Governmental Authorities. The approval by the appropriate regulatory authorities shall have been obtained (including the approval of the Charter and FDIC insurance of accounts by Nittany Bank); the consent of the appropriate regulatory authorities to the establishment and operation by the Purchaser of a branch bank at the present location of each Branch shall have been obtained; and termination of branch operations conducted by the Seller at each Branch location and the Seller's consummation of this sale shall not have been objected to by the appropriate regulatory authority.
