Common use of Approvals and Actions Clause in Contracts

Approvals and Actions. (i) Authority shall maintain authority of this Agreement and the authority to implement this Agreement through the Authority’s Executive Director or his or her duly authorized representative (“Executive Director”). The Executive Director shall have the authority to make approvals, issue interpretations, waive provisions, and/or enter into certain amendments of this Agreement on behalf of the Authority so long as such actions do not add to the costs incurred or to be incurred by the Authority as specified herein, and such approvals, interpretations, waivers and/or amendments may include extensions of time to perform. (ii) City shall maintain authority of this Agreement and the authority to implement this Agreement through the Community Development Director or his or her duly authorized representative. The Community Development Director shall have the authority to make approvals, issue interpretations, waive provisions, and/or enter into certain amendments of this Agreement on behalf of City so long as such actions do not add to the costs incurred or to be incurred by City as specified herein, and such approvals, interpretations, waivers and/or amendments may include extensions of time to perform. All other material and/or substantive interpretations, waivers, or amendments shall require the consideration, action and written consent of the City Council.

The Executive Director shall have the authority to make approvals, issue interpretations, waive provisions, and/or enter into certain amendments of this Agreement on behalf of the Authority Successor Agency so long as such actions do not add to the costs incurred or to be incurred by the Authority Successor Agency as specified herein, and such approvals, interpretations, waivers and/or amendments may include extensions of time to perform. (ii) City shall maintain authority of this Agreement and the authority to implement this Agreement through the Community Development Director or his or her duly authorized representative. The Community Development Director shall have the authority to make approvals, issue interpretations, waive provisions, and/or enter into certain amendments of this Agreement on behalf of City so long as such actions do not add to the costs incurred or to be incurred by City as specified herein, and such approvals, interpretations, waivers and/or amendments may include extensions of time to perform.
