Approvals and Required Consents. a) The Parties shall cooperate to procure, maintain and observe all relevant and regulatory and governmental licenses, clearances and applicable approvals (hereinafter the “Required Consents”) necessary for the Managed Service Provider to provide the Services. The costs of such Approvals shall be borne by the Party normally responsible for such costs according to local custom and practice in the locations where the Services are to be provided. b) The Purchaser or its nominated agencies shall use reasonable endeavors to assist Managed Service Provider to obtain the Required Consents (or vice versa, depending on the Scope of work). In the event that any Required Consent is not obtained, the Managed Service Provider and the Purchaser or its nominated agencies will co-operate with each other in achieving a reasonable alternative arrangement as soon as reasonably practicable for the Purchaser or its nominated agencies to continue to process its work with as minimal interruption to its business operations as is commercially reasonable until such Required Consent is obtained, provided that the Managed Service Provider shall not be relieved of its obligations to provide the Services and to achieve the Service Levels until the Required Consents are obtained if and to the extent that the Managed Service Provider’s obligations are not dependent upon such Required Consents.

In the event that any Required Consent is not obtained, the Managed Service Provider Partner and the Purchaser or its nominated agencies Director, Mission Convergence project will co-operate with each other in achieving a reasonable alternative arrangement as soon as reasonably practicable for the Purchaser or its nominated agencies Director, Mission Convergence project to continue to process its work with as minimal interruption to its business operations as is commercially reasonable until such Required Consent is obtained, provided that the Managed Service Provider Partner shall not be relieved of its obligations to provide the Services and to achieve the Service Levels until the Required Consents are obtained if and to the extent that the Managed Service Provider’s Partner's obligations are not dependent upon such Required Consents.
(d) During the duration of the project, the Partner shall not employ any personnel of the Department of Information Technology, GNCTD and SSS.
