Seller and the Shareholder shall use their best e f f orts to obtain all licenses, permits, approvals or other authorizations required under any law, rule, regulation, or otherwise to provide the services of Seller contemplated by the Service Agreement and to conduct the intended business of Seller and operate the Business and use the Assets.
