Common use of ARBITRATION REQUIREMENT Clause in Contracts

ARBITRATION REQUIREMENT. All controversies concerning (a) any transaction, (b) the construction, performance or breach of this Agreement, or (c) any other matter which may arise between the Adviser and the Client or its agents, shall be determined by arbitration conducted pursuant to the Federal Arbitration Act and the laws of the State of California, before the American Arbitration Association. The Client understands that this arbitration clause does not constitute a waiver of the right to seek a judicial forum where such waiver is void under state or federal securities laws.
