ARTICLE TWELVE. Satisfaction and Discharge of Indenture; Defeasance; Unclaimed Moneys
ARTICLE TWELVE. The Transfer of the Utilization of the Premises Right
12.1. If a transfer of ownership of the Leased Premises occurs or a transfer of the right of the utilization thereof, then the buyer/ owner of the utilization right shall be the designated successor of the First Party and he shall be obliged by all the terms and conditions of this Agreement.
ARTICLE TWELVE. Regular Inspections and Weekly Reports:
12.1. The Expenses of all the inspections required for the project, or by the Engineering Office to ensure the fulfillment of the conditions set under this Agreement shall be paid by the First Party and it shall be included in the total costs of this project, if the First Party delays said payments then the Second Party shall
12.2. The Owner, the Contractor and the Engineering Office may follow up with the conduction of work at the specified location with CCTV cameras, and the Party intending to do so shall bear the full costs thereof.
12.3. The Contactor shall send weekly reports with photos enclosed of the location of the work specified, proving the conduction of work.
12.4. The Contractor shall find an electronic way to enable the Parties to follow up with the work conducted and the percentage thereof.
12.5. The Owner or the Engineering office shall send their feedback regarding the work conducted to the Contractor in a written format via the email specified in this Agreement, and oral feedback shall be deemed invalid.
12.6. Any significant modification of the Agreement shall be mutually agreed to and signed by the Parties, and the Engineering Office may sign on behalf of the owner if the modifications are minor.

ARTICLE TWELVE. Regular Inspections and Weekly Reports:
12.1. The Expenses of all the inspections required for the project, or by the Engineering Office to ensure the fulfillment of the conditions set under this Agreement shall be paid by the First Party and it shall be included in the total costs of this project, if the First Party delays said payments then the Second Party shall handle the conduction and bear the full expenses thereof followed by their deduction out of the total expenses of the project, no matter the percentage it reaches out of the total
12.2. The Owner, the Contractor and the Engineering Office may follow up with the conduction of work at the specified location with CCTV cameras, and the Party intending to do so shall bear the full costs thereof.

ARTICLE TWELVE. The Corporation reserves the right to amend or repeal any provisions contained in this Third Amended and Restated Certificate of Incorporation from time to time and at any time in the manner now or hereafter prescribed by the laws of the State of Delaware, and all rights conferred upon stockholders and directors are granted subject to such reservation.
ARTICLE TWELVE. Replacements In order to provide for the replacement of those directors who have ceased in their positions for any of the grounds set forth in the previous section, the Board of Directors shall appoint one or more alternate directors who shall replace the former, and shall hold their offices until the next Regular Shareholders’ Meeting, whereat the whole Board of Director shall be elected.
