Common use of Articles of Organization; Operating Agreement Clause in Contracts

Articles of Organization; Operating Agreement. At the Effective Time, (a) the Articles of Organization of the Company as in effect immediately prior to the Effective Time shall be the Articles of Organization of the Surviving Corporation until thereafter amended in accordance with the terms thereof or as provided by applicable Law, and (b) the Operating Agreement of the Company as in effect immediately prior to the Effective Time shall be the Operating Agreement of the Surviving Corporation until thereafter amended in accordance with the terms thereof, the Articles of Organization of the Surviving Corporation or as provided by applicable Law; provided, however, in each case, that the name of the company set forth therein shall be changed to the name of the Company.

At the Effective Time, (a) the Articles of Organization of the Company Merger Sub as in effect immediately prior to the Effective Time shall be the Articles of Organization of the Surviving Corporation Company until thereafter amended in accordance with the terms thereof or as provided by applicable Law, and (b) the Operating Agreement of Merger Sub in the Company form attached hereto as in effect immediately prior to the Effective Time Exhibit 2.05 shall be the Operating Agreement of the Surviving Corporation Company until thereafter amended in accordance with the terms thereof, the Articles of Organization of the Surviving Corporation Company or as provided by applicable Law; provided, however, in each case, that the name of the company set forth therein shall be changed to the name of the Company.
