Common use of Articles of Share Exchange Clause in Contracts

Articles of Share Exchange. As soon as practicable after satisfaction or, to the extent permitted hereunder, waiver of all conditions to the Share Exchange, Hyaton and Sunspring will file Articles of Share Exchange in substantially the form attached hereto as Schedule F (the "Articles of Share Exchange") with the Secretary of State of Nevada and make all other filings or recordings required by Nevada law in connection with the Share Exchange.
