Common use of Artist’s Representations and Warranties Clause in Contracts

Artist’s Representations and Warranties. Artist hereby represents and warrants as follows: a. Other than as submitted to Artist by Producer for incorporation into the Picture, all of the Material shall be wholly original with Artist or in the public domain; b. The Material or any use of the Material contemplated hereunder does not and will not violate, conflict with, or infringe upon, any rights whatsoever of any person, firm or corporation, including, without limitation, any copyright, common law or statutory, throughout the world; any right of publication, performance, or any other right in any work; and any right against libel, slander, invasion of privacy, unfair competition or similar right; c. Except as submitted to Artist by Producer, the Material shall be fictitious and no real persons shall be depicted therein; d. There are no claims or litigation pending and no threat of any claim or litigation with respect to, concerning or purporting to affect adversely Producer's right and title in or to the Material; e. As between Producer and Artist, Producer will be the sole and exclusive owner in perpetuity throughout the universe of the rights in and to the Material; f. Artist has the right to enter into this Agreement, to perform the services contemplated hereby and no provisions for Artist's employment or services hereunder or for the use of Artist's name, likeness or biography as herein contemplated does now or will hereafter violate, conflict with or infringe upon any rights whatsoever, of any person, firm or corporation; g. Artist will perform in good faith and to the best of Artist's ability in the manner and at the times and places directed by Producer all of the services reasonably required of Artist by Producer hereunder and will comply with all reasonable directions, requests, rules and regulations of Producer in connection therewith; h. Artist is not subject to any obligation or disability that will or might prevent or interfere with Artist fully keeping and performing all of Artist's material covenants and material conditions to be kept or performed by Artist hereunder; i. Artist has not made nor will Artist make any agreement that will or might conflict with or impair the complete enjoyment of the services, rights and privileges granted to Producer hereunder.

Artist will perform in good faith and to the best of Artist's ability in the manner and at the times and places directed by Producer all of the services reasonably required of Artist by Producer hereunder and will comply with all reasonable directions, requests, rules and regulations of Producer in connection therewith; h. performing this Agreement. Artist is not subject to any obligation or disability that which will or might prevent or interfere with Artist fully keeping the full completion and performing all performance of Artist's material covenants any of the obligations and material conditions to be kept or and performed by Artist hereunder; i. . Artist has not made nor and will Artist not make any grant or assignment or any agreement that with any third party which will or might conflict with or impair the complete enjoyment of the services, rights and privileges granted to Producer hereunder or the full performance of Artist’s obligations and services hereunder. (b) All Material furnished by Artist in connection with Artist’s services hereunder is and will be wholly original with Artist and will not violate or infringe upon any right of any kind or nature whatsoever of any person or entity, including, without limitation, any right of privacy or publicity. No rights in such Material have been granted to others or impaired by Artist, and there are and will be no encumbrances, liens, conditions, or restrictions whatsoever upon or affecting such Material. No part of such Material has been registered for copyright, published, or otherwise exploited or agreed to be published or otherwise exploited. There is no pending or threatened claim or litigation in connection with such Material or the rights granted to Producer hereunder. (c) This Agreement is not and will not be subject to any claim against Producer for fees or commissions by any agent or representative of Artist or any other person. (d) Artist has obtained and will maintain at all times during the Term any and all work permits, immigration clearances (including the completion of Immigration Reform Act Form I-9), and any other work clearances, whether foreign or domestic, necessary to enable Artist to perform Artist’s services hereunder. (e) Artist is familiar with the provisions of Section 507 of the Federal Communications Act, as amended (47 U.S.C. Section 508) (prohibiting the acceptance or payment of money or other consideration for the inclusion of program matter), is aware that the violation of the foregoing Section constitutes a criminal offense, has not violated and will not violate any of the provisions of said Section, and has not and will not do any act that would require disclosure pursuant to said Section.

Artist’s Representations and Warranties. Artist hereby represents represents, warrants, and warrants as followsagrees that: a. Other than as submitted Artist is free to enter into this Agreement, and no rights of any third parties are or will be violated by Artist entering into or performing this Agreement. Artist is not subject to any conflicting obligation or any disability, and Artist has not made and shall not hereafter make any agreement with any third party which could interfere with the rights granted to OPDC hereunder or the full performance of Artist’s obligations and services hereunder. b. All ideas and Material furnished by Producer for incorporation into the Picture, all of the Material shall Artist in connection with Artist’s services hereunder is and will be wholly original with Artist or in the public domain; b. The Material or any use of the Material contemplated hereunder does not and will not violate, conflict with, violate or infringe upon, upon any rights right of any kind or nature whatsoever of any person, firm person or corporationentity, including, without limitation, any right of privacy or publicity. No rights in such Material have been granted to others or impaired by Artist, and there are and will be no encumbrances, liens, conditions, or restrictions whatsoever upon or affecting such Material. No part of such Material has been registered for copyright, common law published, or statutoryotherwise exploited or agreed to be published or otherwise exploited. There is no pending or threatened claim or litigation in connection with such Material or the rights granted to OPDC hereunder. c. This Agreement is not and will not be subject to any claim against OPDC for fees or commissions by any agent or representative of Artist or any other person. d. Artist will not directly or indirectly issue or permit the issuance of any publicity whatsoever regarding, throughout the world; or grant any right of publicationinterview or make any statements concerning, performanceArtist’s services hereunder, OPDC’s production methods, or any other right in telecaster, exhibitor, or sponsor (or product or service of any work; sponsor) which may make use of the Material, without OPDC’s prior written consent, and Artist will not divulge or make known to any person any matters of a confidential nature pertaining to the business of OPDC or any such telecaster, exhibitor or sponsor without first obtaining the express written consent of OPDC, or such telecaster, exhibitor or sponsor with respect thereto. e. Artist has obtained and will maintain at all times during the Term any and all work permits, immigration clearances (including the completion of Immigration Reform Act Form I-9), and any right against libelother work clearances, slanderwhether foreign or domestic, invasion of privacy, unfair competition or similar right; c. Except as submitted necessary to enable Artist by Producer, the Material shall be fictitious and no real persons shall be depicted therein; d. There are no claims or litigation pending and no threat of any claim or litigation with respect to, concerning or purporting to affect adversely Producer's right and title in or to the Material; e. As between Producer and perform Artist, Producer will be the sole and exclusive owner in perpetuity throughout the universe of the rights in and to the Material;’s services hereunder. f. Artist has is familiar with the right to enter into this Agreementprovisions of Section 507 of the Federal Communications Act, to perform as amended (47 U.S.C. Section 508) (prohibiting the services contemplated hereby and no provisions for Artist's employment acceptance or services hereunder payment of money or other consideration for the use inclusion of Artist's nameprogram matter), likeness or biography as herein contemplated does now or will hereafter violate, conflict with or infringe upon any rights whatsoever, of any person, firm or corporation; g. Artist will perform in good faith and to is aware that the best of Artist's ability in the manner and at the times and places directed by Producer all violation of the services reasonably required of Artist by Producer hereunder foregoing Section constitutes a criminal offense, has not violated and will comply with all reasonable directionsnot violate any of the provisions of said Section, requests, rules and regulations of Producer in connection therewith; h. Artist is not subject to any obligation or disability that will or might prevent or interfere with Artist fully keeping and performing all of Artist's material covenants and material conditions to be kept or performed by Artist hereunder; i. Artist has not made nor and will Artist make not do any agreement act that will or might conflict with or impair the complete enjoyment of the services, rights and privileges granted would require disclosure pursuant to Producer hereundersaid Section.
