ASP AGREEMENT. 10.1 The ASP Agreement shall continue in full force and effect until such time as Acceptance is achieved and iTouch Group has made its commercial launch into production use of the Licensed Software supplied to it under this Agreement. At such time the ASP Agreement shall automatically terminate, without prejudice to the accrued rights of either party under it, and save that Clause 4.8 and any other clause stated therein as surviving termination of the ASP Agreement shall remain in force. 10.2 The financial provisions of the ASP Agreement shall however be varied as stated in Schedule 7 (Financial), and shall also be subject to Clause 9.1 above.
