Assessment of Servicing Compliance. Countrywide shall deliver to the Purchaser or its designee on or before March 5th of each year, beginning March 5, 2007, a report regarding its assessment of compliance with Servicing Criteria as required by Rules 13a-18 and 15d-18 of the Securities Exchange Act and Item 1122 of Regulation AB, which as of the date hereof require a report by Countrywide that contains the following: (a) A statement of its responsibility of assessing the Servicing Criteria applicable to Countrywide; (b) A statement that it used the Servicing Criteria to assess compliance with the Servicing Criteria applicable to Countrywide; (c) A statement of Countrywide’s compliance with the applicable Servicing Criteria as of the immediately preceding December 31 and for the period covered by the preceding calendar year and disclosure of any material instance of noncompliance with respect thereto; and (d) A statement that a registered public accounting firm has issued an attestation report on Countrywide’s compliance with the applicable Servicing Criteria as of the immediately preceding December 31, and for the period covered by the preceding calendar year.
