Common use of Assignability of Contracts Clause in Contracts

Assignability of Contracts. Except as set forth on Schedule 4.5, all Customer Contracts are fully assignable by the Company to Acquisition Co. without triggering or resulting in a breach or default under any such Customer Contract or giving rise to a right of termination, modification, cancellation or acceleration thereunder.

Assignability of Contracts. Except as set forth on Schedule 4.5Section 3.5 of the Company Disclosure Schedule, all Customer Contracts are fully assignable by the Company to Acquisition Co. without triggering or resulting in a breach or default under any such Customer Contract (or giving rise to a right of termination, modification, cancellation or acceleration thereunder).
