Assignment and Binding Nature. Customer shall not assign, voluntarily or by operation of law, any of its rights or obligations under this Agreement without the prior written consent of Liquid Web. Liquid Web may upon prior written notice to Customer, assign all of its rights and obligations under this Agreement to any entity which effects a merger transaction with Liquid Web

Liquid Web may upon prior written notice to Customer, assign all of its rights and obligations under this Agreement to any entity which effects a merger transaction with Liquid Web or otherwise acquires all or substantially all of the capital stock or assets of Liquid Web. Subject to the foregoing, this Agreement shall be binding on the Parties and respective successors and assigns.
