Common use of Assignment and Governing Law Clause in Contracts

Assignment and Governing Law. 10.1 This Agreement shall be governed by the law of the State where the Work is performed. 10.2 Neither party to the Agreement shall assign this Agreement or sublet it as a whole without the written consent of the other party. Such consent shall not be unreasonably withheld, except that HONEYWELL may assign to another party the right to receive payments due under this Agreement. HONEYWELL may enter into subcontracts for the Work without obtaining Customer’s consent.
