Assignment and Waiver. (a) A party will not assign, novate or otherwise transfer this Agreement or any right or obligation under this Agreement without the prior written approval of the other party, which will not be unreasonably withheld. (b) A party’s failure or delay to exercise a power or right does not operate as a waiver of that power or right. Waiver of a power or right is effective only: (i) in respect of the specific instance to which it relates; (ii) for the specific purpose for which it is given; and (iii) if it is given in writing. (c) The exercise of a power or right does not preclude either its exercise in the future or the exercise of any other power or right.
