Common use of Assignment by Dissolution Clause in Contracts

Assignment by Dissolution. 1667 In the event the Authority seeks to dissolve before the end of the Agreement’s Term, such dissolution is 1668 conditioned upon the agency(ies) or successor joint power authority’s individual or collective 1669 acceptance of Assignment of this Agreement as well as the respective obligations of the Authority. The 1670 Assignee’(s) individual or collective consent to Assignment shall effectuate such dissolution of the 1671 Authority. The Authority Board of Directors shall take such actions as may be necessary to ensure its 1672 obligations hereunder are properly assumed by the Assignee Member Agencies.
