Common use of Assignment by Entity Name Clause in Contracts

Assignment by Entity Name. Entity Name may with the prior written notice to and the prior written consent of, the Town in each instance, except as provided for in §9.2 this ARTICLE 9, assign this Agreement, in whole or in part. Any assignment shall be conditioned upon the assignee explicitly assuming in writing all of Entity Name’s obligations under this Agreement. Entity Name shall deliver to the Town thirty days’ (30) advance written notice of its intent to assign this Agreement. Entity Name shall also have the right to enter into one or more subleases with respect to this Agreement and/or to assign any rights under this agreement to any purchaser(s) of metering credits.
