Assignment by the Collateral Agent. The Collateral Agent may at any time assign or otherwise transfer all or any portion of its rights and obligations as Collateral Agent under this Agreement and the other Security Documents (including, without limitation, the Benefited Obligations) to any other Person, to the extent permitted by, and upon the conditions contained in, the Intercreditor Agreement and the other Financing Agreements, as applicable, and such Person shall thereupon become vested with all the benefits and obligations thereof granted to the Collateral Agent herein or otherwise.

Assignment by the Collateral Agent. The Collateral Agent may from time to time assign its own interest (but not the interest of any other Secured Party) in the Secured Obligations and any portion thereof and/or the Collateral and any portion thereof, and the assignee shall be entitled to all of the rights and remedies of the Collateral Agent under this Security Agreement in relation thereto.

Assignment by the Collateral Agent. The Collateral Agent may from time to time assign the Pledgor Obligations and any portion thereof and/or the Pledged Collateral and any portion thereof, and the assignee shall be entitled to all of the rights and remedies of the Collateral Agent under this Pledge Agreement in relation thereto.

Assignment by the Collateral Agent. The Collateral Agent may from time to time, subject to the provisions of the respective Senior Credit Documents, assign the Pledgor Obligations and any portion thereof and/or the Pledged Collateral and any portion thereof, and the assignee shall be entitled to all of the rights and remedies of the Collateral Agent under this Pledge Agreement in relation thereto.

Assignment by the Collateral Agent. Subject to the terms of the Credit Agreement, the Collateral Agent may from time to time assign the Secured Obligations and any portion thereof and/or the Collateral and any portion thereof, and the assignee shall be entitled to all of the rights and remedies of the Collateral Agent under this Security Agreement in relation thereto.

Assignment by the Collateral Agent. The Collateral Agent, in accordance with Section 5.5 of the Intercreditor Agreement, may assign the Pledgor Obligations and any portion thereof and/or the Pledged Collateral and any portion thereof to a successor Collateral Agent, and the assignee shall be entitled to all of the rights and remedies of the Collateral Agent under this Pledge Agreement in relation thereto. Upon the request of any such successor Collateral Agent, however, at the expense of the Pledgors, the Pledgors shall promptly execute and deliver such instruments of conveyance and further assurance reflecting terms consistent with the terms of the Intercreditor Agreement then in effect and this Pledge Agreement and do such other things as may reasonably be required for more fully and certainly vesting and confirming in such successor Collateral Agent its interest in the Collateral and all such rights, powers, duties and obligations of the predecessor Collateral Agent hereunder.

Assignment by the Collateral Agent. Subject to Section 10 of the Securities Purchase Agreement, the Collateral Agent may from time to time assign the Secured Obligations and any portion thereof and/or the Collateral and any portion thereof, and the assignee shall be entitled to all of the rights and remedies of the Collateral Agent under this Security Agreement in relation thereto.

Assignment by the Collateral Agent. By acceptance of the benefits of this Agreement and any other Collateral Document, each of the holders of the Pari Passu Secured Obligations (whether or not signatory hereto) shall be deemed irrevocably to consent to the appointment of the Collateral Agent as its agent hereunder and under the other Collateral Documents. The Collateral Agent may from time to time assign the Secured Obligations to accepts such appointment and agrees, that notwithstanding anything to the contrary in any Indenture Documents, a resignation by the Collateral Agent under the Indenture Documents shall not be effective unless a successor Collateral Agent appointed in accordance with the Indenture, and such successor shall be entitled to all of the rights and remedies of thehas been appointed as Collateral Agent under this Agreement in relation theretoaccordance with each of the than extant Indentures and Additional Pari Passu Secured Obligations Agreements.
