All the terms, provisions, covenants and conditions of this Agreement (including any modifications thereto) shall be binding upon, inure to the benefit of, and be enforceable by ▇▇▇▇▇▇▇ ▇▇▇▇▇, its successors and assigns; provided however, that no portion of this Agreement (including any Work Authorization) and the rights and obligations thereunder shall be assignable or delegable by ▇▇▇▇▇▇▇ ▇▇▇▇▇, by operation of law or otherwise, without the express prior written consent of CLIENT which consent shall not be unreasonably withheld.
