Common use of Assignment of Liquidity Facility Clause in Contracts

Assignment of Liquidity Facility. The Subordination Agent agrees not to consent to the assignment by any Liquidity Provider of any of its rights or obligations under any Liquidity Facility or any interest therein, unless (i) United shall have consented to such assignment and (ii) each Rating Agency shall have provided a Ratings Confirmation in respect of such assignment, except that no Ratings Confirmation shall be required in connection with an assignment by the applicable Liquidity Provider of any of its rights or obligations under any Liquidity Facility after a Final Advance thereunder; provided, that the Subordination Agent shall consent to such assignment if the conditions in the foregoing clauses (i) and (ii) are satisfied, and the foregoing is not intended to and shall not be construed to limit the rights of the initial Liquidity Provider under Section 3.5(e)(ii).

The Subordination Agent agrees not to consent to the assignment by any Liquidity Provider of any of its rights or obligations under any Liquidity Facility or any interest therein, unless (i) United Continental shall have consented to such assignment and (ii) each Rating Agency shall have provided a Ratings Confirmation in respect of such assignment, except that no Ratings Confirmation shall be required assignment and (iii) in connection with an assignment by the applicable Liquidity Provider case of any of its rights or obligations under any the Primary Liquidity Facility after a Final Advance thereunderonly, the Policy Provider shall have consented to such assignment (which consent shall not be unreasonably withheld or delayed); provided, that the Subordination Agent shall consent to such assignment if the conditions in the foregoing clauses (i), (ii) and (iiiii) are satisfied, and the foregoing is not intended to and shall not be construed to limit the rights of the initial Primary Liquidity Provider under Section 3.5(e)(ii).

The Subordination Agent agrees not to consent to the assignment by any Liquidity Provider of any of its rights or obligations under any Liquidity Facility or any interest therein, unless (i) United JetBlue shall have consented to such assignment and (ii) each Rating Agency shall have provided a Ratings Confirmation in respect of such assignmentassignment and (iii) in the case of a Primary Liquidity Facility only, except that no Ratings Confirmation shall be required in connection with an assignment by the applicable Liquidity Provider Policy Provider, if any, insuring the Class of any Certificates having the benefit of its rights or obligations under any such Primary Liquidity Facility after a Final Advance thereundershall have consented to such assignment (which consent shall not be unreasonably withheld or delayed); provided, that the Subordination Agent shall consent to such assignment if the conditions in the foregoing clauses (i), (ii) and (iiiii) are satisfied, and the foregoing is not intended to and shall not be construed to limit the rights of the initial a Primary Liquidity Provider under Section 3.5(e)(ii).
