Assignment of Obligations. Assignor hereby assigns, transfers, delegates and delivers to Assignee all of Assignor's obligations (and related rights) under the Note (the "Assigned Obligations"); provided, however, Assignor shall hold harmless Assignee from any and all liability for accrued but unpaid interest on the Note as of the date hereof (the "Retained Liability").
