Common use of Assignment of Purchase Agreement Clause in Contracts

Assignment of Purchase Agreement. A. Pursuant to Section 11.06(a) of the Purchase Agreement, the Assignor hereby assigns to the Assignee, and the Assignee hereby consents to the assignment of, and assumes, all of the Assignor’s rights, benefits and obligations under the Purchase Agreement. B. Nothing in this Article I shall in any manner limit or affect the Assignor’s obligations under the Purchase Agreement. C. This Article I shall be binding upon, inure to the benefit of, and be enforceable by the Assignor, the Assignee and their respective successors and assigns. D. The provisions of Section 11.12(a) and Section 11.12(b) of the Purchase Agreement are incorporated herein by reference and shall apply to the terms and provisions of this Article I.
