Common use of Assignment of Rights and Delegation of Duties Clause in Contracts

Assignment of Rights and Delegation of Duties. Neither Ambassadors, Influencers, nor ▇▇▇▇▇ ▇▇▇▇▇ shall assign their rights nor delegate their duties under the Agreement without the prior written authorization of the other Party. Notwithstanding the foregoing, if the assets of ▇▇▇▇▇ ▇▇▇▇▇, or a controlling ownership interest in ▇▇▇▇▇ ▇▇▇▇▇, is transferred to a third party, ▇▇▇▇▇ ▇▇▇▇▇ may assign its rights and delegate its duties and obligations to all Ambassadors or Influencers under the Agreement to such third party as part of the transfer and need not obtain Ambassadors or Influencers’ prior written authorization.
