Assignment of Services Sample Clauses
The Assignment of Services clause defines whether and how one party may transfer its rights or obligations under a contract to another party. Typically, this clause outlines the conditions under which such an assignment is permitted, such as requiring prior written consent from the non-assigning party, or specifying exceptions for assignments to affiliates or in connection with a merger. Its core practical function is to control and limit the transferability of contractual duties and benefits, thereby ensuring that both parties maintain oversight over who is responsible for performing the agreed services and mitigating the risk of unwanted third-party involvement.
