Common use of Assignment or Sale Clause in Contracts

Assignment or Sale. Lessee may not assign this Lease, nor sublet the Demised Premises or any portion thereof, without first obtaining the prior written consent of Lessor, not to be unreasonably withheld. Any consent by Lessor to a assignment or subletting shall not in any manner be construed to relieve Lessee or any assignee or sublessee from obtaining the consent in writing of Lessor to any further assignment or subletting, and in all events, Lessee shall remain primarily liable for the payment of rent herein reserved and for the performance of all of the other terms of this Lease required to be performed by Lessee. Lessor may assign this lease or any partial interest herein, any may also sell, convey and mortgage the Demised Premises, subject to the term of this Lease.
