Assignment to the Indenture Trustee. The Transferor hereby acknowledges and consents to any pledge, assignment and grant of a security interest by the Trust to the Indenture Trustee pursuant to the Indenture for the benefit of the Noteholders of all right, title and interest of the Trust in, to and under the Collateral Certificate and the other property described in the Granting Clause of the Indenture or the assignment of any or all of the Trust's rights and obligations hereunder to the Indenture Trustee.
