ASSIGNMENTS AND SUBCONTRACTING. Neither the Agreement, nor any interest herein, nor any claim hereunder, may be assigned or delegated by ▇▇▇▇▇▇, nor may Seller further subcontract all or substantially all of the Agreement without the prior written consent of Buyer. Buyer’s consent shall not be deemed to relieve Seller of its obligations to comply fully with the requirements hereof. If Seller has relied on the statement that no further subcontracting opportunities exist under this Agreement as a reason for not submitting to Buyer a small business subcontracting plan, Seller shall notify Buyer of any subcontracting that occurs under this Agreement. If requested, Seller shall provide to Buyer a small business- subcontracting plan under such circumstances. Without Buyer's written consent, Seller shall not subcontract for the design, development, or procurement of any substantial portion of goods or services under the Agreement. This limitation does not apply to Seller’s purchase of standard commercial supplies or raw material. Notwithstanding the above, Seller may, without ▇▇▇▇▇'s consent, assign monies due or to become due hereunder provided ▇▇▇▇▇ shall continue to have the right to exercise any and all of its rights hereunder, settle any and all claims arising out of, and enter into amendments to the Agreement, without notice to or consent of the assignee. Buyer shall be given written notice of any assignment and all invoices shall refer to the assignment.
