Assignments and Subcontracts Clause Samples
The Assignments and Subcontracts clause governs whether and how a party to a contract may transfer its rights or obligations to another party or engage third parties to perform contractual duties. Typically, this clause requires one party to obtain the other party’s written consent before assigning the contract or subcontracting significant portions of the work. For example, a contractor may need approval before hiring a subcontractor to complete specialized tasks. The core function of this clause is to maintain control over who is responsible for performing under the contract, thereby protecting the interests of the original parties and ensuring that contractual obligations are fulfilled by acceptable and qualified entities.
