Common use of Assignments by Banks Clause in Contracts

Assignments by Banks. If any Bank assigns all or any of its rights and benefits hereunder in accordance with Clause 20.3 (Assignments and Transfers by Banks), then, unless and until the assignee has delivered a notice to the Facility Agent confirming in favour of the Facility Agent and the other Senior Finance Parties that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party hereto as a “Bank”), the Facility Agent and the other Senior Finance Parties shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto.

Assignments by Banks. If any Bank assigns all or any of its rights and benefits hereunder under the Finance Documents in accordance with Clause 20.3 27.3 (Assignments and Transfers by Banks), then, unless and until the assignee has delivered a notice to the Facility Agent confirming in favour of the Facility Agent Agent, the Arrangers and the other Senior Finance Parties Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party hereto as a “"Bank”"), the Facility Agent Agent, the Arrangers, and the other Senior Finance Parties Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto.

If any Bank assigns all or any of its rights and benefits hereunder in accordance with Clause 20.3 25.1 (Assignments and Transfers by Banks), then, unless and until the assignee has delivered a notice to agreed with the Borrower, the Facility Agent confirming in favour of Agent, the Facility Agent Arranger and the other Senior Finance Parties Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party hereto as a “"Bank”"), the Facility Agent Agent, the Arranger and the other Senior Finance Parties Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto. The assignee shall be responsible for giving notice of the assignment to the Borrower.

If any Bank assigns all or any of its rights and benefits hereunder in accordance with Clause 20.3 25.3 (Assignments and Transfers by Banks), then, unless and until the assignee has delivered a notice to agreed with the Principal Company, the Facility Agent confirming in favour of Agent, the Facility Agent Arrangers and the other Senior Finance Parties Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party hereto as a “"Bank”"), the Facility Agent Agent, the Arrangers and the other Senior Finance Parties Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto. The Assignee shall be responsible for giving notice of the assignment to the relevant Obligors.

If any Bank assigns all or any of its rights and benefits hereunder under this Agreement in accordance with Clause 20.3 25.3 (Assignments and Transfers by Banks), then, unless and until the assignee has delivered a notice to agreed with the Facility Agent confirming in favour of Agent, the Facility Agent Security Agent, the Arranger and the other Senior Finance Parties Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto to this Agreement as a Bank (whereupon such assignee shall become a party hereto to this Agreement as a “"Bank”"), the Facility Agent Agent, the Security Agent, the Arranger and the other Senior Finance Parties Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party heretoto this Agreement.

If any Bank assigns all or any of its rights and benefits hereunder in accordance with Clause 20.3 24.3 (Assignments and Transfers by Banks), then, unless and until the assignee has delivered a notice to agreed with the Facility Agent confirming in favour of Agent, the Facility Agent Trustee, the Arrangers and the other Senior Finance Parties Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party hereto as a “"Bank”"), the Facility Agent Agent, the Trustee, the Arrangers and the other Senior Finance Parties Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto.

If any Bank assigns all or any of its rights and benefits hereunder under the Finance Documents in accordance with Clause 20.3 29.3 (Assignments and Transfers by Banks), then, unless and until the assignee has delivered a notice to the Facility Agent confirming in favour of the Facility Agent Agent, the Lead Arrangers and the other Senior Finance Parties Banks that it shall be under the same obligations towards each of them as it would have been under if it had been an original party hereto as a Bank (whereupon such assignee shall become a party hereto as a “Bank”), the Facility Agent Agent, the Lead Arrangers, and the other Senior Finance Parties Banks shall not be obliged to recognise such assignee as having the rights against each of them which it would have had if it had been such a party hereto.
