Assignments, Etc. (a) The Seller shall, on or prior to any Purchase Date with respect to the Transferred Loans, execute and deliver to the Buyer a written assignment from Seller to the Buyer substantially in the form of Exhibit A hereto. From and after such Purchase Date, such Loans and related interests and property shall be deemed to be part of the Transferred Loans hereunder.
