Assignments Not In Compliance With this Agreement. An assignee or transferee of Units pursuant to an assignment or other transfer which was not made pursuant to and upon the terms and conditions of this Agreement shall not have any rights whatsoever as a Member (including, without limitation, to receive Distributions, any notices to Members, to vote, or otherwise) unless and until such assignee or transferee has complied with the terms and conditions of this Agreement, and such assignment or other transfer shall be of no force and effect whatsoever unless and until such compliance has been obtained and satisfied.
