Assignor Provisions Clause Samples

The Assignor Provisions clause defines the rights, responsibilities, and limitations of the party transferring its interest or obligations under a contract (the assignor). Typically, this clause outlines the conditions under which the assignor may assign its rights, such as requiring prior written consent from the other party, and may specify any warranties or representations the assignor must make regarding the assignment. Its core practical function is to ensure that any transfer of contractual rights or duties is controlled and transparent, thereby protecting the interests of all parties involved and preventing unauthorized or undesirable assignments.
