Common use of Assistant Secretaries Clause in Contracts

Assistant Secretaries. Except as may be otherwise provided in this Agreement, Assistant Secretaries, if there are any, shall perform such duties and have such powers as from time to time may be assigned to them by the Member, the President, any Vice President, if there are any appointed, or the Secretary, and in the absence of the Secretary or in the event of his disability or refusal to act, shall perform the duties of the Secretary, and when so acting, shall have all the powers of and be subject to all the restrictions upon the Secretary.

Assistant Secretaries. Except The Assistant Secretaries shall perform the duties as are given to them by this Agreement or as may be otherwise provided in this Agreement, Assistant Secretaries, if there are any, shall perform such duties and have such powers as from time to time may be assigned to them by the Member, Management Directors or by the President, any Vice President, if there are any appointed, or Secretary. At the request of the Secretary, and or in his absence or disability, the Assistant Secretary designated by the Secretary (or in the absence of such designation the Secretary or in the event of his disability or refusal to actsenior Assistant Secretary), shall perform the duties and exercise the powers of the Secretary, and when so acting, shall have all the powers of and be subject to all the restrictions upon the Secretary.

Assistant Secretaries. Except as may be otherwise provided in this Agreementthese Bylaws, Assistant Secretaries, if there are be any, shall perform such duties and have such powers as from time to time may be assigned to them by the MemberBoard of Directors, the President, any Vice President, if there are any appointed, or the Secretary, and in the absence of the Secretary or in the event of his disability or refusal to act, shall perform the duties of the Secretary, and when so acting, shall have all the powers of and be subject to all the restrictions upon the Secretary.

Assistant Secretaries. Except Each Assistant Secretary, if elected, shall have the usual powers and duties pertaining to his office, together with such other powers and duties as may be otherwise provided designated in this Agreement, Assistant Secretaries, if there are any, shall perform such duties Agreement and have such powers as from time to time may be assigned to them him by the Member, the President, any Vice President, if there are any appointed, President or the Secretary, and in managers. Except Each Assistant Secretary (if any) shall have the usual powers and duties pertaining to his office, together with such other powers and duties as may be otherwise provided in this Agreement, Assistant Secretaries, if there are any, shall perform such duties and have such powers as prescribed from time to time may be assigned to them by the Memberchief executive officer, the President, any Vice President, if there are any appointed, Board or the Secretary, . The Assistant Secretaries may sign with the other appointed Officers all certificates for Units and in shall exercise the absence powers of the Secretary during the Secretary’s absence or in the event of his disability inability or refusal to act, shall perform the duties of the Secretary, and when so acting, shall have all the powers of and be subject to all the restrictions upon the Secretary.

The Assistant Secretaries shall exercise the absence powers of the Secretary under the Secretary’s direction or in the event of his disability during that officer’s absence or inability or refusal to act, shall perform the duties of the Secretary, and when so acting, shall have all the powers of and be subject to all the restrictions upon the Secretary.

In the absence of the Secretary or in the event of his disability or refusal to act, shall perform the duties of the Secretary, and when so acting, shall have all one or more of the powers Assistant Secretaries may perform such duties of and be subject to all the restrictions upon Secretary as the Secretary, the President, or the Managers may designate.

Assistant Secretaries. Except Each assistant secretary shall have such powers and duties, subject to such limitations, as may be otherwise provided in this Agreement, Assistant Secretaries, if there are any, shall perform such duties and have such powers prescribed by the General Partner or as may be delegated from time to time may be assigned to them by the Member, the President, any Vice President, if there are any appointed, or the Secretary, and in the absence of the Secretary or in the event of his disability or refusal to act, shall perform the duties of the Secretary, and when so acting, shall have all the powers of and be subject to all the restrictions upon the Secretarypresident.
