Common use of Assistant Secretaries Clause in Contracts

Assistant Secretaries. Each Assistant Secretary shall have such powers and duties as may be assigned to him or her by the Board of Directors, the Chairman of the Board, the Chief Executive Officer or the President. The Assistant Secretaries (in the order of their seniority as determined by the Board of Directors or, in the absence of such a determination, as determined by the length of time they have held the office of Assistant Secretary) shall exercise the powers of the Secretary during that Officer’s absence or inability to act.

Assistant Secretaries. Each Assistant Secretary Secretary, if any, shall have the usual powers and duties pertaining to his or her office, together with such other powers and duties as designated in these Bylaws and as from time to time may be assigned to him or her by the Board of Directors, the Chairman of the Board, the Chief Executive Officer or the PresidentBoard. The Assistant Secretaries (in the order of their seniority as determined by the Board of Directors or, in the absence of such a determination, as determined by the length of time they have held the office of Assistant Secretary) shall exercise the powers of the Secretary during that Officerofficer’s absence or inability or refusal to act.

Each Assistant Secretary shall have the usual powers and duties pertaining to his office, together with such other powers and duties as may be assigned to him or her by the Board of Directors, the Chairman of Chief Executive Officer, the Board, President or the Secretary. The Assistant Secretary or such other person as may be designated by the Chief Executive Officer or the President. The Assistant Secretaries (in the order of their seniority as determined by the Board of Directors or, in the absence of such a determination, as determined by the length of time they have held the office of Assistant Secretary) President shall exercise the powers of the Secretary during that Officer’s officer's absence or inability to act.

The Assistant Secretaries (in the order of their seniority as determined by the Board of Directors or, in the absence of such a determination, as determined by the length of time they have held the office of Assistant Secretary) shall exercise the powers of the Secretary during that Officer’s absence or inability to actCompany.

The Assistant Secretaries (in the order of their seniority as determined by the Board of Directors or, in the absence of such a determination, as determined by the length of time they have held the office of Assistant Secretary) shall exercise the powers of the Secretary during that Officer’s absence or inability to act.

At the request of the Secretary, or in his absence or disability, an Assistant Secretary designated by the Board or the chief executive officer of the Corporation shall perform all the duties of the Secretary and, when so acting, shall have all the powers of the Secretary. Each Assistant Secretary shall have perform such powers and other duties as from time to time may be assigned to him by the Secretary or her by the Board of Directors, or by the Chairman chief executive officer of the Board, the Chief Executive Officer or the President. The Assistant Secretaries (in the order of their seniority as determined by the Board of Directors or, in the absence of such a determination, as determined by the length of time they have held the office of Assistant Secretary) shall exercise the powers of the Secretary during that Officer’s absence or inability to actCorporation.

Assistant Secretaries. Each of the Assistant Secretaries shall assist the Secretary in his or her duties and shall have such other powers and perform such other duties as may be assigned to him or her prescribed by the Board of Directors, the Chairman Chief Executive Officer. In case of the Boardabsence, disability, death, resignation or removal from office of the Secretary, his powers and duties shall, for the time being, devolve upon such one of the Assistant Secretaries, as the Chief Executive Officer or the President. The Assistant Secretaries (in the order of their seniority as determined by the Board of Directors may designate, or, in the absence of such a determination, as determined by the length of time they have held the office of if there be but one Assistant Secretary) shall exercise the powers of the Secretary during that Officer’s absence or inability to act, then upon such Assistant Secretary.
