Common use of Assumption by Purchaser Clause in Contracts

Assumption by Purchaser. The Shareholder (a) shall advise the person or persons to whom it transfers the Apartment ("Purchaser") of the Work undertaken by the Shareholder pursuant to this Agreement; (b) shall provide copies of the Plans and this Agreement to the Purchaser; and (c) shall cause the Purchaser to execute and deliver to the Corporation an agreement substantially in the form of Exhibit "E" hereto pursuant to which the Purchaser shall assume all of the obligations of Shareholder under this Agreement, including the obligation under this Paragraph 15 with respect to any transfer of the Apartment by the Purchaser. The Shareholder hereby waives any claim against the Corporation on account of (a) the Corporation advising a potential Purchaser of the provisions of this Agreement, including this Paragraph 15, and/or (b) refusing to consent to or register the transfer of the Apartment to such potential Purchaser unless and until such potential Purchaser shall execute and deliver to the Corporation an agreement in the form of Exhibit "E" hereto.

Assumption by Purchaser. The Shareholder hereby waives any claim against the Corporation on account of of (a) the Corporation advising a potential Purchaser of the provisions of this Agreement, including this Paragraph 15section, and/or (b) refusing to consent to or register the transfer of the Apartment to such potential Purchaser unless and until such potential Purchaser shall execute and deliver to the Corporation an agreement substantially in the form of Exhibit "E" B hereto.

The Shareholder Unit owner (a) shall advise the person or persons to whom it transfers the Apartment ("Purchaser") of the Work undertaken by the Shareholder Unit owner pursuant to this Agreement; (b) shall provide copies of the Plans and this Agreement to the Purchaser; and (c) shall cause the Purchaser to execute and deliver to the Corporation Condominium an agreement substantially in the form of Exhibit "E" B hereto pursuant to which the Purchaser shall assume all of the obligations of Shareholder Unit owner under this Agreement, including the obligation under this Paragraph 15 Section 14 with respect to any transfer of the Apartment by the Purchaser. The Shareholder Unit owner hereby waives any claim against the Corporation Condominium on account of (a) the Corporation Condominium advising a potential Purchaser of the provisions of this Agreement, including this Paragraph 15Section 14, and/or (b) refusing to consent to or register the transfer of the Apartment to such potential Purchaser unless and until such potential Purchaser shall execute and deliver to the Corporation Condominium an agreement in the form of Exhibit "E" B hereto.

Assumption by Purchaser. The Shareholder or Shareholder’s successor-in-interest (ai) shall advise the person or persons to whom it transfers each subsequent successor in interest of Shareholder’s interest in the Apartment ("Purchaser") of the Work undertaken by the Shareholder pursuant to and the successor in interest’s obligations under this Agreement; (bii) shall provide copies of the Plans and this Agreement to the Purchasersuccessor in interest; and (ciii) shall waive any claim or cause of action against the Corporation, the Board of Managers both as individuals and as agents for all Shareholders or the Managing Agent, for advising a potential Purchaser to execute and deliver to the Corporation an agreement substantially or other successor in the form of Exhibit "E" hereto pursuant to which the Purchaser shall assume all interest of the obligations of Shareholder the owner of the Apartment under this Agreement, including (iv) have the obligation under this Paragraph 15 with respect to Assumption of Alteration Agreement, in substantially the same form annexed as Exhibit E, executed by any transfer of the Apartment by the Purchasersuccessor-in-interest. The Shareholder hereby waives any claim against the Corporation on account of (a) the Corporation advising a potential Purchaser of the provisions of this Agreement, including this Paragraph 15, and/or (b) refusing to consent to or register the transfer of the Apartment to such potential Purchaser unless and until such potential Purchaser shall execute and deliver to the Corporation an agreement in the form of Exhibit "“E" ” hereto.
