Assumption by the Guarantor Sample Clauses

The "Assumption by the Guarantor" clause establishes that the guarantor formally takes on the obligations or liabilities of another party, typically the principal debtor, under a contract. In practice, this means the guarantor agrees to fulfill the debtor's responsibilities—such as making payments or performing duties—if the debtor fails to do so. This clause ensures that the beneficiary of the guarantee has a clear and enforceable right to seek performance or compensation from the guarantor, thereby reducing the risk of non-performance or default.
Assumption by the Guarantor. The Guarantor, or a Subsidiary thereof that is organized and existing under the laws of the United States, any State of the United States or the District of Columbia, may directly assume, by an indenture supplemental hereto, executed and delivered to the Trustee, in form reasonably satisfactory to the Trustee, the due and punctual payment of the principal of and interest on all the Notes and the performance of every covenant of the Indenture on the part of the Issuer to be performed or observed. Upon any such assumption, the Guarantor or such Subsidiary shall succeed to, and be substituted for and may exercise every right and power of, the Issuer under the Indenture with the same effect as if the Guarantor or such Subsidiary had been named as the Issuer herein and the Issuer shall be released from liability as obligor on the Notes.
Assumption by the Guarantor. The Guarantor or a Subsidiary may, with the consent of the Company but without the consent of any Holder of a Security, assume all of the rights and obligations of the Company hereunder and under the Securities if, after giving effect to such assumption, no Event of Default shall have occurred and be continuing. Upon such an assumption, the Guarantor, the Company and the Fiscal Agent shall execute an amendment to the Agreement evidencing the Guarantor's or such Subsidiary's assumption of all such rights and obligations of the Company and the Company shall be released from its liabilities hereunder and under such Securities as obligor thereon.
Assumption by the Guarantor. Ambev hereby assumes Companhia de Bebidas’ obligations under the Guaranty, including those for the full and punctual payment of principal of and interest on the Notes when due, whether at maturity, by acceleration, by redemption, by required repurchase or otherwise. Ambev is the continuing entity with and into which Companhia de Bebidas has merged pursuant to the Merger, in accordance with the laws of the Federative Republic of Brazil. Following the effectiveness of this Amendment, all references to Companhia de Bebidas under the Guaranty shall be deemed references to Ambev, as the Guarantor.
