ATLANTIC FINANCIAL DATA CERTIFICATE AND BRING DOWN. At the time of execution of this Agreement, the Underwriters shall have received from the chief executive officer and the chief financial officer of the Issuer a certificate as of the date hereof in respect of certain financial data regarding Atlantic Cellular Company, L.P. included in the Prospectus in the form attached hereto as EXHIBIT C. At the Closing Time, the Underwriters shall have received from such officers a certificate to the effect that they reaffirm as of the Closing Time the statements made in the certificate referred to in the preceding sentence, with any reference in such bring down certificate to "the date hereof" or any similar reference being brought forward to the date of such bring down certificate.
