Attainment of Performance Goals. In order for Actual Awards to be earned and paid, the Company must attain the Performance Goals. If the Performance Goals are not met on or before the last day of the Performance Period, the Committee, in its sole discretion, may direct the Company to pay less than the Target Award to reflect actual performance.
