Common use of Attempted Transfers Clause in Contracts

Attempted Transfers. Any attempted or purported sale or other transfer by holders of the Shares in violation or contravention of the terms of Section 3.1 of this Agreement shall be null and void ab initio. Subsidiary shall, and shall instruct its transfer agent to, reject and refuse to transfer on its books any Shares that may have been attempted to be sold or otherwise transferred in violation or contravention of any of the provisions of Section 3.1 of this Agreement, and shall not recognize any person or entity claiming to have received rights to the Shares in violation thereof.
