Common use of Audit Reports and Other Information Clause in Contracts

Audit Reports and Other Information. Vendor acknowledges that Regulatory Authorities may, in conducting an inspection of Keryx, request copies of reports of Keryx audits of its suppliers. For clarity, in response to such a request, Keryx shall not have the right to provide to the Regulatory Authority any report of any compliance audit conducted hereunder (including as may be conducted in accordance with the Quality Agreement) and any other information in connection with the activities hereunder without the prior written consent of Vendor, which shall not be unreasonably withheld.
