Common use of Auditors and Reviewers Clause in Contracts

Auditors and Reviewers. MCA-El Salvador will engage one or more auditors as contemplated in the Audit Guidelines (each, an “Auditor”). As requested by MCC in writing from time to time, MCA-El Salvador will also engage an independent (i) reviewer to conduct reviews of performance and compliance under the Compact, which reviewer will have the capacity to (1) conduct general reviews of performance or compliance, (2) conduct audits of environmental and social performance, and (3) conduct data quality assessments in accordance with the M&E Plan, as described more fully in Annex III to the Compact, and/or (ii) evaluator to assess performance as required under the M&E Plan (each, a “Reviewer”). MCA-El Salvador will select the Auditor(s) and/or Reviewer(s) in accordance with the Audit Guidelines and the M&E Plan, as applicable. MCA-El Salvador will enter into an agreement with each Auditor or Reviewer, in form and substance acceptable to MCC, that sets forth the roles and responsibilities of the Auditor or Reviewer with respect to the audit, review or evaluation, including access rights, required form and content of the applicable audit, review or evaluation and other appropriate terms and conditions (the “Auditor / Reviewer Agreement”).

As requested by MCC in writing from time to time, MCA-El Salvador Moldova will also engage an independent (i) reviewer to conduct reviews of performance and compliance under the Compact, which reviewer will have the capacity to (1) conduct general reviews of performance or compliance, (2) conduct audits of environmental and social performanceaudits, and (3) conduct data quality assessments in accordance with the M&E Plan, as described more fully in Annex III to the Compact, and/or (ii) evaluator to assess performance as required under the M&E Plan (each, a “Reviewer”). MCA-El Salvador Moldova will select the Auditor(s) and/or Reviewer(s) in accordance with the Audit Guidelines and the M&E Plan, as applicable. MCA-El Salvador Moldova will enter into an agreement with each Auditor or Reviewer, in form and substance acceptable satisfactory to MCC, that sets forth the roles and responsibilities of the Auditor or Reviewer with respect to the audit, review review, or evaluation, including access rights, required form and content of the applicable audit, review or evaluation evaluation, and other appropriate terms and conditions (the “Auditor / Reviewer Agreement”).
