Common use of Authentication of Trust Certificate Clause in Contracts

Authentication of Trust Certificate. Concurrently with the initial sale of the Financed Student Loans to the Trust pursuant to the Sale and Servicing Agreement, the Owner Trustee shall cause the Trust Certificate to be executed on behalf of the Trust, authenticated and delivered without further action by the Depositor. No Trust Certificate shall entitle its holder to any benefit under this Trust Agreement, or shall be valid for any purpose, unless there shall appear on such Trust Certificate a certificate of authentication substantially in the form set forth in Exhibit A, executed by the Owner Trustee or Deutsche Bank Trust Company Americas, as the Trust’s authenticating agent, by manual signature; such authentication shall constitute conclusive evidence that such Trust Certificate shall have been duly authenticated and delivered hereunder. Each Trust Certificate shall be dated the date of its authentication. After the initial issuance of the Trust Certificate as set forth in the first sentence of this Section 3.03, no further Trust Certificate shall be issued except pursuant to Section 3.04, 3.05 or 3.10 hereunder.
