Common use of Authentication required Clause in Contracts

Authentication required. Each Subscription Receipt Certificate shall be Authenticated by the Subscription Receipt Agent. The Subscription Receipt Agent shall Authenticate Certificated and Uncertificated Subscription Receipts (at original issuance only upon the written direction of the Company) and they shall then be entered on the register maintained by the Subscription Receipt Agent. The Company shall, and hereby acknowledges that it shall, thereupon be deemed to have duly and validly issued such Subscription Receipts under this Agreement. Such Authentication shall be conclusive evidence that such Certificated or Uncertificated Subscription Receipts have been duly issued hereunder and that the holder or holders are entitled to the benefits of this Agreement. The register shall be final and conclusive evidence as to all matters relating to Certificated and Uncertificated Subscription Receipts with respect to which this Agreement requires the Subscription Receipt Agent to maintain records or accounts. The register maintained by the Subscription Receipt Agent shall be binding upon the Company. No Subscription Receipt shall be considered issued and shall not be valid or obligatory and shall not entitle the holder thereof to the benefits of this Agreement, until it has been Authenticated by the Subscription Receipt Agent.
