Authorised Sub-processors Sample Clauses

The 'Authorised Sub-processors' clause defines the conditions under which a data processor is permitted to engage third parties (sub-processors) to process data on behalf of the data controller. Typically, this clause requires the processor to obtain prior written consent from the controller before appointing any sub-processor, and to ensure that sub-processors are bound by data protection obligations equivalent to those in the main agreement. Its core function is to maintain oversight and control over who handles sensitive data, thereby mitigating risks related to unauthorized data access or breaches.
Authorised Sub-processors. Customer agrees that AWS may use sub-processors to fulfill its contractual obligations under this DPA or to provide certain services on its behalf, such as providing support services. The AWS website (currently posted at ▇▇▇▇▇://▇▇▇.▇▇▇▇▇▇.▇▇▇/compliance/sub-processors/) lists sub-processors that are currently engaged by AWS to carry out processing activities on Customer Data on behalf of Customer. At least 30 days before AWS engages any new sub-processor to carry out processing activities on Customer Data on behalf of Customer, AWS will update the applicable website and provide Customer with a mechanism to obtain notice of that update. If Customer objects to a new sub-processor, then without prejudice to any termination rights Customer has under the Agreement and subject to the applicable terms and conditions, Customer may move the relevant Customer Data to another AWS Region where the new sub-processor to whom Customer objects, is not engaged by AWS as a sub-processor. Customer consents to AWS’s use of sub-processors as described in this Section. Except as set forth in this Section, or as Customer may otherwise authorise, AWS will not permit any sub-processor to carry out processing activities on Customer Data on behalf of Customer.
Authorised Sub-processors. Customer provides general authorisation to AWS’s use of sub-processors to provide processing activities on Customer Data on behalf of Customer (“Sub-processors”) in accordance with this Section. To object to a Sub-processor, Customer can: (i) terminate the Agreement pursuant to its terms; (ii) cease using the Service for which AWS has engaged the Sub-processor; or (iii) move the relevant Customer Data to another AWS Region where AWS has not engaged the Sub-processor.
Authorised Sub-processors. Customer agrees that SailPoint may engage Sub-processors to Process Customer Personal Information on Customer's behalf. Authorised Sub-processors. 4.1. Controller acknowledges and agrees that Processor may (1) engage the Authorised Sub-processors who are under a covenant of confidentiality with D2L, to assist with the Products and Services to access and Process Personal Data in connection with the Services, and (2) from time to time engage additional third parties for the purpose of providing the Services, including without limitation the Processing of Personal Data. D2L will notify Controller from time to time as to its Authorised Sub-processors, or will provide details upon request. 4.2. Processor shall ensure that all Authorised Sub-processors have executed confidentiality agreements that prevent them from disclosing or otherwise Processing any Personal Data both during and after their engagement by Processor. 4.3. Processor shall, by way of contract or other legal act under European Union or European Union member state law (including without limitation approved codes of conduct and standard contractual clauses), ensure that every Authorised Sub-processor is subject to obligations regarding the Processing of Personal Data that are no less protective than those to which the Processor is subject under this Addendum. 4.4. Processor shall be liable to Controller for the acts and omissions of Authorised Sub-processors to the same extent that Processor would itself be liable under this Addendum had it conducted such acts or omissions.
Authorised Sub-processors. 1. Approved sub-processors 1.1 On commencement of the Clauses, the Data Controller authorises the engagement of the following sub-processors as stated at ▇▇▇▇▇://▇▇▇.▇▇▇.▇▇/subprocessors. 1.2 The Data Controller shall on the commencement of the Clauses authorise the use of the abovementioned sub-processors for the processing described for that Party. The Data Processor shall not be entitled – without the Data Controller’s explicit written authorization – to engage a sub-processor for a ‘different’ processing than the one which has been agreed upon or have another sub-processor perform the described processing.
Authorised Sub-processors. Customer provides general authorisation to Clevertouch’s use of sub-processors to provide processing activities of Customer Data on behalf of Customer (“Sub- processors”) in accordance with this Clause. Clevertouch is responsible for maintaining an up to date list of its subprocessors and will provide a copy of same to Customer, within 72 hours of written request. This list shall be applicable for all services covered by this DPA. To object to a Sub-processor, Customer can: (i) terminate the Agreement pursuant to its terms; (ii) cease using the Service for which ▇▇▇▇▇▇▇▇▇▇▇ has engaged the Sub-processor.
