Common use of Authority and Authorization Clause in Contracts

Authority and Authorization. The Corporation has full corporate power and authority to enter into this Subscription Agreement and to do all acts and things and execute and deliver all documents as are required hereunder to be done, observed, performed or executed and delivered by it in accordance with the terms hereof and the Corporation has taken all necessary corporate action to authorize the creation, execution, delivery and performance of this Subscription Agreement, and to observe and perform the provisions of this Subscription Agreement, in accordance with the provisions hereof;

Authority and Authorization. The Corporation has full corporate power and authority to enter into this Subscription Agreement and to do all acts and things and execute and deliver all documents as are required hereunder and thereunder to be done, observed, performed or executed and delivered by it in accordance with the terms hereof and thereof and the Corporation has taken all necessary corporate action to authorize the creation, execution, delivery and performance of this Subscription Agreement, Agreement and to observe and perform the provisions of this Subscription Agreement, Agreement in accordance with the provisions hereof;hereof including, without limitation, the issue of the Purchased Common Shares to the Subscriber for the consideration and upon the terms and conditions set forth herein.

The Corporation has full the corporate power and authority capacity to enter into this Subscription Agreement each of the Transaction Documents and to do all acts and things and execute and deliver all documents as are required hereunder to be done, observed, performed or executed and delivered by it in accordance with the terms hereof and the Corporation has taken all necessary corporate action to authorize the creation, execution, delivery and performance of this Subscription Agreement, and to observe and perform the provisions of this Subscription Agreement, in accordance with the provisions hereof;thereof.

The Corporation Company has full corporate power and authority to enter into this Subscription Agreement and to do all acts and things and execute and deliver all documents as are required hereunder to be done, observed, performed or executed and delivered by it in accordance with the terms hereof and the Corporation Company has taken all necessary corporate action to authorize the creation, execution, delivery and performance of this Subscription Agreement, the certificates representing the Units, and to observe and perform the provisions of this Subscription Agreement, in accordance with the provisions hereof;
