Common use of AUTHORITY AND REPRESENTATIONS Clause in Contracts

AUTHORITY AND REPRESENTATIONS. Each Party represents and warrants to the other Party that (i) it is duly organized, validly existing, and in good standing under the laws of the jurisdiction of its incorporation, formation, or organization, as applicable; (ii) it has full authority to enter into this Agreement and perform its obligations hereunder; (iii) the person who executes this Agreement on its behalf has full and complete authority to do so; (iii) this Agreement and any related Transactions constitute its legal, valid and binding obligation, subject to applicable bankruptcy and similar creditors’ rights laws; and (iv) it is acting for its own account, having made its own independent decisions to enter this Agreement.
